Allgemeine Geschäftsbedingungen (AGB)

§ 1 Geltungsbereich

Diese Allgemeinen Geschäftsbedingungen gelten für alle von Giordano Stolley (nachfolgend „Fotograf“) durchgeführten Aufträge, Angebote, Lieferungen und Leistungen im Bereich der Porträt- und Businessfotografie.

§ 2 Termine, Buchung und Anzahlung

  1. Mit der Zusage eines Termins (schriftlich oder per E-Mail) kommt ein verbindlicher Vertrag zustande.

  2. Der Fotograf behält sich vor, eine Anzahlung / Terminreservierungsgebühr zu verlangen. Erst nach Eingang dieser Gebühr gilt der Termin als fest gebucht.

§ 3 Stornierung, Verschiebung und Ausfallhonorar

  1. Eine kostenfreie Absage oder Verschiebung des Termins durch den Kunden ist bis spätestens 48 Stunden vor dem vereinbarten Termin möglich.

  2. Bei einer Absage oder Stornierung von weniger als 48 Stunden vor dem vereinbarten Termin wird eine nicht erstattungsfähige Gebühr (Ausfallhonorar) in Höhe von 60,- Euro fällig.

  3. Eine kurzfristige Verschiebung des Termins aufgrund von Krankheit ist möglich. Sollten für den ursprünglichen Termin jedoch bereits Studios, Locations, Requisiten oder technisches Equipment von Drittanbietern kostenpflichtig angemietet worden sein und sind diese Kosten nicht mehr erstattungsfähig, trägt der Kunde diese Drittanbieter-Kosten in voller Höhe.

  4. Bei einer Verspätung des Kunden wird die Shooting-Zeit entsprechend verkürzt, um nachfolgende Termine nicht zu gefährden. Das Honorar bleibt in voller Höhe bestehen.

§ 4 Vergütung, Zusatzleistungen und Rechnungsstellung

  1. Es gilt das vereinbarte Honorar. Da der Fotograf als Kleinunternehmer tätig ist, wird gemäß § 19 UStG keine Umsatzsteuer ausgewiesen.

  2. Ein Visagist / Make-up-Artist ist standardmäßig nicht im Leistungsumfang enthalten. Falls ausdrücklich vom Kunden gewünscht, kann ein Make-up-Artist hinzugebucht werden. Die hierfür anfallenden Gebühren werden separat verhandelt und abgerechnet.

  3. Die Lieferung der Bilddateien erfolgt erst nach vollständiger Bezahlung des vereinbarten Honorars.

§ 5 Urheberrecht und Nutzungsrechte

  1. Dem Fotografen steht das Urheberrecht an allen während des Shootings entstandenen Lichtbildern nach Maßgabe des Urheberrechtsgesetzes (UrhG) dauerhaft und uneingeschränkt zu.

  2. Nach vollständiger Bezahlung erhält der Kunde das Recht, die finalen Bilder für Social Media (z.B. private oder geschäftliche Profile wie LinkedIn, Xing, Instagram) sowie zur Eigenwerbung und Promotion des eigenen Unternehmens zu nutzen.

  3. Jede darüber hinausgehende Nutzung – insbesondere der Weiterverkauf der Bilder an Dritte, die Nutzung in fremden kommerziellen Projekten, globalen Werbekampagnen oder durch andere Unternehmen – ist ausdrücklich ausgeschlossen. Diese Rechte müssen separat verhandelt und vertraglich vereinbart werden.

  4. Es ist fester Bestandteil dieser Vereinbarung, dass der Fotograf die entstandenen Bilder für das eigene Portfolio, Eigenwerbung, Online-Auftritte (Website), Printmedien und Social-Media-Plattformen zur Bewerbung seiner fotografischen Tätigkeit nutzen darf.

  5. Der Fotograf wird die Bilder nicht ohne vorherige Rücksprache und ausdrückliche Erlaubnis des Kunden an andere Unternehmen oder kommerzielle Einrichtungen verkaufen oder an diese weitergeben.

  6. Der Fotograf ist berechtigt, die entstandenen Bilder bei Fotowettbewerben einzureichen und zu nutzen. Der Fotograf wird sich jedoch bemühen, den Kunden im Vorfeld darüber zu informieren.

§ 6 Bildformate und Lieferung

  1. Alle finalen Bilder werden standardmäßig im hochauflösenden JPG-Format bereitgestellt.

  2. Die Bereitstellung in anderen Dateiformaten (z.B. RAW, TIFF) erfolgt nur auf ausdrücklichen Wunsch und bedarf einer gesonderten, schriftlichen Vereinbarung sowie gegebenenfalls einer zusätzlichen Vergütung.

§ 7 Pflichten des Kunden (Tiere, Kinder und Haftungsausschluss)

  1. Bringt der Kunde Haustiere, andere Tiere oder Kinder mit zum Shooting, obliegt dem Kunden die alleinige Aufsichtspflicht und Verantwortung für deren Wohlergehen, Verhalten und Kontrolle. Der Kunde haftet für alle durch die Tiere oder Kinder verursachten Schäden oder Störungen.

  2. Der Kunde stellt den Fotografen von jeglicher Haftung frei, falls Bildmaterial oder Informationen von Dritten ohne Wissen und ohne Verschulden des Fotografen von der Website, Social-Media-Kanälen oder anderen digitalen Plattformen kopiert, heruntergeladen („geliftet“) oder missbräuchlich verwendet werden.

§ 8 Künstlerischer Gestaltungsspielraum

  1. Die Aufnahmen unterliegen dem künstlerischen Gestaltungsspielraum des Fotografen. Reklamationen bezüglich des vom Fotografen gewählten Stils, der Location oder der Lichtführung sind ausgeschlossen.

§ 9 Schlussbestimmungen

  1. Es gilt das Recht der Bundesrepublik Deutschland.

  2. Sollten einzelne Bestimmungen dieser AGB unwirksam sein oder werden, bleibt die Gültigkeit der übrigen Bestimmungen hiervon unberührt.

§ 1 Scope of Application

These General Terms and Conditions apply to all assignments, offers, deliveries, and services carried out by Giordano Stolley (hereinafter referred to as the "Photographer") in the field of portrait and business photography.

§ 2 Appointments, Booking, and Deposit

  1. A binding contract is established upon the confirmation of an appointment (written or via email).

  2. The Photographer reserves the right to request a deposit / appointment reservation fee. The appointment is only considered firmly booked once this fee has been received.

§ 3 Cancellation, Rescheduling, and Cancellation Fees

  1. Free cancellation or rescheduling of the appointment by the client is possible up to 48 hours prior to the agreed appointment time.

  2. In the event of a cancellation or termination less than 48 hours before the agreed appointment, a non-refundable fee (cancellation fee) of 60.00 Euros will be charged.

  3. Short-term rescheduling of the appointment due to illness is permitted. However, if studios, locations, props, or technical equipment have already been rented from third-party providers for the original date at a cost, and these costs are non-refundable, the client shall be liable for these third-party costs in full.

  4. In the event of the client arriving late, the photoshoot time will be shortened accordingly so as not to jeopardize subsequent appointments. The full agreed fee remains payable.

§ 4 Remuneration, Additional Services, and Invoicing

  1. The agreed fee applies. As the Photographer operates as a small business (Kleinunternehmer), no VAT (Umsatzsteuer) is charged or displayed in accordance with § 19 of the German VAT Act (UStG).

  2. A makeup artist / hair stylist is not included in the standard scope of services. If explicitly requested by the client, a makeup artist can be booked. The fees incurred for this will be negotiated and invoiced separately.

  3. Digital image files will only be delivered after the agreed fee has been paid in full.

§ 5 Copyright and Usage Rights

  1. The Photographer retains the copyright to all images created during the photoshoot permanently and without restriction, in accordance with the German Copyright Act (UrhG).

  2. Upon full payment, the client receives the right to use the final images for social media (e.g., private or professional profiles such as LinkedIn, Xing, Instagram) as well as for self-marketing and promotion of their own business.

  3. Any use beyond this scope—in particular the resale of the images to third parties, or the use of the images in external commercial ventures, global advertising campaigns, or by other corporate entities—is expressly excluded. These rights must be negotiated and contractually agreed upon separately.

  4. It is an inherent part of this agreement that the Photographer may use the resulting images for his own portfolio, self-promotion, online presence (website), print media, and social media platforms to promote his photography services.

  5. The Photographer will not sell or pass on the images to other companies or commercial entities without prior consultation and explicit permission from the client.

  6. The Photographer is entitled to enter the resulting images into photography competitions. However, the Photographer will endeavor to inform the client in advance.

§ 6 Image Formats and Delivery

  1. All final images are provided standard in high-resolution JPG format.

  2. Delivery in other file formats (e.g., RAW, TIFF) is only done upon explicit request and requires a separate written agreement, and may be subject to additional remuneration.

§ 7 Client Obligations (Pets, Children, and Indemnity)

  1. If the client brings pets, other animals, or children to the shoot, the client assumes sole duty of care and responsibility for their well-being, behavior, and control. The client is liable for any damage or disruption caused by the animals or children.

  2. The client indemnifies the Photographer from any liability in the event that image material or information is copied, downloaded ("lifted"), or misused by a third party from the website, social media channels, or other digital platforms without the knowledge and without the fault of the Photographer.

§ 8 Artistic Freedom

  1. All images are subject to the artistic freedom and style of the Photographer. Complaints regarding the style, location, or lighting chosen by the Photographer are excluded.

§ 9 Closing Provisions

  1. The law of the Federal Republic of Germany applies.

  2. Should individual provisions of these Terms and Conditions be or become invalid, the validity of the remaining provisions shall remain unaffected.

 

IMPORTANT: In case of any discrepancies between the English and German versions of these terms and conditions, the German version (also shown on this page) shall prevail.
